Running a large-scale business creates the risk of criminal liability, not only for one's own actions but also for the actions of third parties. While it is possible to mitigate these risks and even insure them against certain risks, it is impossible to anticipate and completely eliminate all potential risks in a current strategy. It sometimes happens that the owners' vision for a company's development differs at a certain stage, resulting in a dispute between partners. We represent clients in proceedings conducted by the President of the Office of Competition and Consumer Protection (UOKiK), ensure the proper conduct of processes in the context of permitted practices in the presence of contractual advantage, assess trade policy compliance, and train management and key administrative staff in how to respond to unannounced inspections or searches initiated or conducted by antitrust authorities, including through simulations. We participate in cross-border projects, including combating unfair competition involving the imitation of existing businesses by transferring ready-made templates and scaling them in a similar format to the existing business by introducing the same mechanisms, stealing customer/supplier databases, and building offers based on the names and parameters of products offered by the infringing company. We review organizations' existing distribution and sales processes and franchise models with competition law regulations, verify templates, price lists, and terms of competitions and promotions. We also advise on merger control.
